Structures we incorporate

The right Italian vehicle depends on your purpose:

  • S.r.l. — the standard limited-liability company, minimum capital €10,000. The default choice for serious commercial operations.
  • S.r.l.s. — simplified S.r.l., minimum capital €1, lower notary fees, suitable for early-stage or single-purpose vehicles.
  • Sede secondaria (branch) — an Italian branch of your foreign parent, no separate legal personality. Best when you want a fiscal presence in Italy without a separate legal entity.
  • Stabile organizzazione — the corporate-tax equivalent of a permanent establishment, often relevant for marketplace sellers who cross the substance threshold.

End-to-end timeline
